Anaheim Commercial Mortgage: What Changes the Day You Buy

Anaheim · Orange County, California · Updated September 2026

Anaheim Commercial Mortgage

An Anaheim file is underwritten on California numbers. The property tax resets to your purchase price the day you close, a supplemental bill follows that the lender never sees, and after that the taxable value can rise only 2 percent a year.

The short answer

An Anaheim commercial mortgage is sized on what the property earns after California expenses, and the biggest of those expenses changes on the day you buy. Under Proposition 13 the taxable value of real property is set at its value when purchased, newly constructed or otherwise changed in ownership, and it can then rise no more than 2 percent a year. The base tax is capped at 1 percent of that value, plus voter-approved debt. So the seller's tax bill tells you almost nothing about yours. Your bill is built on your price, and a supplemental bill for the difference arrives within months of closing, addressed to you, not to the lender.

  • The reset: taxable value becomes your purchase price. Underwrite the tax on the price, never on the seller's bill.
  • The supplemental bill: a prorated bill for the increase, in addition to the annual bill, that lending agencies do not receive even when they pay the annual bill from escrow.
  • The entity trap: buying more than 50 percent of the company that owns the building is a change in ownership too.

Facts verified 25 September 2026 against the California Constitution, the Revenue and Taxation Code, the Civil Code, the State Board of Equalization and the Orange County Clerk of the Board. Nothing on this page is a rate quote or an offer.

The tax reset on the day you buy

Most states tax a building on an assessed value that drifts with the market. California does not. Article XIII A of the state Constitution defines full cash value as the appraised value of the property when purchased, newly constructed, or when a change in ownership has occurred, and it allows that value to rise by an inflation factor not to exceed 2 percent in any year. Section 1 of the same article caps the basic tax at 1 percent of full cash value, with an exception for taxes that repay voter-approved bonded debt.

The consequence for a buyer is simple and often expensive. An owner who bought an Anaheim building in 2005 is still being taxed on a 2005 price plus 2 percent a year. The moment you buy it, the clock restarts at your price. The operating statement the seller hands you carries the old tax; the one your lender underwrites has to carry the new one.

Compare that with Arizona, where a sale does not reset the taxable value at all. Our Chandler commercial mortgage guide covers the version of this conversation where the cap you buy is the cap you keep. In California it is the opposite: the cap protects the seller, and it starts protecting you only after you have paid the reset.

San Jose adds two city rules on top of the same reset: a transfer tax that steps up at $5 million and a rent ordinance that allows one 5 percent increase a year on older apartments. Our San Jose commercial mortgage guide works through both.

The supplemental bill the lender never sees

The reset does not wait for the next tax year. Under Revenue and Taxation Code sections 75 to 75.72, a change in ownership or completed new construction is a supplemental event. The assessor determines the current market value, subtracts the prior assessed value, and enrolls the difference as a supplemental assessment, prorated from the first day of the month after the event to the end of the fiscal year on 30 June. The State Board of Equalization is explicit that this bill is in addition to the annual bill.

Here is the line that catches buyers. The Board also states that lending agencies do not receive the original or a copy of the supplemental tax bill, even if they are otherwise being sent and paying the owner's annual tax bills. If your lender escrows taxes, the escrow covers the annual bill on the old value. The supplemental bill for the increase goes to you, and it is due whether or not anyone reserved for it.

Industrial and flex space is the most common Anaheim purchase we see, and the reset lands on it the same way it lands on everything else.

Two practical moves. Put the supplemental amount in your sources and uses at closing, as cash you will need in the first year rather than an expense that appears later. And ask the lender whether the tax escrow will be set on the purchase price from the first payment, because a lender that escrows on the old bill will re-analyse the account after the first supplemental notice and raise the payment.

Buying the company instead of the building

Buyers sometimes propose acquiring the limited liability company that owns the property, in the belief that the real estate never changes hands and the tax base survives. Revenue and Taxation Code section 64 closes most of that door. When any person or entity obtains control, through direct or indirect ownership, of more than 50 percent of the voting stock of a corporation or of the capital and profits of a partnership or limited liability company, the transfer is a change in ownership of the real property that entity owns.

Section 64 also counts cumulatively. When the original co-owners of an entity transfer, in one or more transactions, interests representing more than 50 percent of the total, the real property is reappraised as of the transfer that crosses the line. A lender financing an entity purchase will ask for the ownership history precisely because of this, and will underwrite the tax as if the deed had changed hands.

Anaheim apartment loans under the state rent cap

Anaheim apartment loans are underwritten with one California law in the room that most states do not have. Civil Code section 1947.12 provides that an owner of residential real property shall not, over any 12-month period, increase the gross rental rate for a unit by more than 5 percent plus the percentage change in the cost of living, or 10 percent, whichever is lower. Housing issued a certificate of occupancy within the previous 15 years is exempt. The section remains in effect until 1 January 2030.

For an underwriter that means the gap between in-place rents and market rents on an older building cannot be closed in one renewal cycle. A value-add plan that assumes rents move to market at turnover is fine; one that assumes existing tenants move to market next year is not. Lenders will size on the rents that the law allows in the loan term, and a broker who has already run that schedule saves the file a round trip.

Newer buildings are exempt from the state rent cap for 15 years after their certificate of occupancy; older ones are not.

This is a lighter regime than the rent stabilization our NYC commercial mortgage guide describes, where a regulated rent has no market ceiling to move toward at all, and heavier than Texas, where our Carrollton commercial mortgage page explains that no rent control exists outside a declared disaster. Anaheim sits in the middle: rents can move, but on a schedule, and the tax line resets when you buy.

What the reset does to a loan

Here is the arithmetic. Take an Anaheim industrial building under contract at $6,000,000, where the seller has held it long enough that the assessed value on the current bill is $2,400,000. The seller pays about $24,000 a year at the 1 percent base rate. On closing the taxable value becomes $6,000,000 and the base tax becomes $60,000, before any voter-approved debt on the bill. The property did not change. The tax line rose by $36,000 because the owner did.

Effect of the reset on a $6,000,000 purchase with a $2,400,000 prior assessed value, at three illustrative total tax rates. Debt figures assume 1.25x coverage, an example 7.00% rate and a 25-year amortization. Illustration only, not a quote.
Total rate on the billSeller's taxYour taxAdded annual taxLoan capacity lostValue lost at a 6.5% cap rate
1.00 percent$24,000$60,000$36,000About $340,000About $554,000
1.10 percent$26,400$66,000$39,600About $374,000About $609,000
1.20 percent$28,800$72,000$43,200About $407,000About $665,000

Read the total rate from the seller's actual tax bill, because the voter-approved debt on top of the 1 percent differs by district. Then the supplemental bill: on a closing in October, the increase is prorated for the nine months left in the fiscal year, so at the 1 percent base rate roughly $27,000 arrives in your name in addition to the regular bill, and outside any lender escrow.

On a gross lease the owner absorbs the whole increase, so net operating income falls by the full amount and the loan shrinks with it. On a triple net lease the tax is reimbursed by tenants, which protects net operating income but raises their occupancy cost by the same $36,000 or more, and that shows up at the next renewal. Underwriters look at both. A lender who has seen a California file before will ask for the reset math in the first conversation; one who has not will find it in the appraisal, later, at a worse moment.

How an Anaheim commercial mortgage gets sized

Two tests run at the same time and the lower answer wins. Debt service coverage asks whether net operating income comfortably exceeds the annual payments, most often at a minimum of 1.25x. Loan-to-value caps the loan against the appraised value, commonly 65 to 80 percent depending on the property and the program.

A plain example. Say the $6,000,000 building above nets $390,000 a year after real California expenses, including the tax on the new value rather than the seller's bill. At 1.25x coverage, annual debt service can be no more than $312,000, which is $26,000 a month. At an example 7.00% rate on a 25-year amortization, that payment supports a loan of roughly $3,679,000, about 61 percent of the price. Coverage sets the ceiling well before the leverage cap does, and the reset is the reason: on the seller's tax figure the same building would have appeared to support about $340,000 more debt than it can carry. The rate is an illustration, not a quote.

Our guide to the loan-to-value ratio on apartment loans covers the second test in detail, and the commercial mortgage rates page explains how pricing and term interact.

Loan options for an Anaheim property

Most Anaheim requests land with one of five kinds of lender. Which one fits depends on the property type, its condition and how long you intend to hold it. Hotels near the resort district are a sixth conversation: they are underwritten as operating businesses on revenue per available room and management, not only as real estate.

What a California lender will ask you for

A complete package moves faster than a strong one that arrives in pieces. For an Anaheim property, expect this list.

  • The seller's current tax bill, for the total rate and the voter-approved debt on it, not for the amount. Your amount is the price times that rate.
  • A reset calculation showing the annual tax on the purchase price and the prorated supplemental bill for the closing month, in the sources and uses.
  • The entity ownership history, if you are buying an interest in the owning company rather than the deed, so the lender can apply section 64.
  • Rent roll with certificate of occupancy dates on any residential units, so the 15-year exemption from the state rent cap is settled up front.
  • Rent roll and trailing 12 months of income and expenses, plus the last two years of statements and a copy of every lease over a meaningful size.
  • Property condition and environmental reports as the lender requires them.
  • Borrower package: schedule of real estate owned, net worth and liquidity after closing, and credit for every key principal.

One more date belongs in the file. Orange County accepts appeals of the regular annual assessment between 2 July and 30 November each year; for 2026 the Clerk of the Board lists Thursday 2 July to Monday 30 November 2026. A supplemental assessment carries its own appeal window from the date of its notice. If the appraisal comes in below your price, that is the route, and the deadline is a hard one.

When an Anaheim deal does not pencil

Some files should not be forced. If the numbers only work on the seller's tax bill and fail on the reset, the price is wrong, not the loan. If the plan needs rents on an older building to reach market inside the rent cap schedule, the plan is wrong, not the building. If there is no cash left after closing, wait, because the supplemental bill will arrive in the first year and it will not go to the lender.

The fix is usually one of three: a lower price, a partner who brings liquidity, or a bridge loan with a written refinance plan sized on the tax after the reset rather than before it.

The goal is not simply to close an Anaheim commercial mortgage. It is to close one the property can still carry after the county has re-set the value, the supplemental bill has been paid, and the leases have turned over once.

Anaheim commercial mortgage FAQ

Does buying an Anaheim property reset its property tax?

Yes. Under Article XIII A of the California Constitution the taxable value is the appraised value when the property is purchased or changes ownership, and it may then rise by no more than 2 percent a year. The base tax is 1 percent of that value plus voter-approved debt. Underwrite on your price, not on the seller's bill.

What is a supplemental tax bill and will my lender pay it?

It is a prorated bill for the difference between the old assessed value and the new one, covering the months from your closing to the end of the fiscal year on 30 June, and it is charged in addition to the annual bill. The State Board of Equalization states that lending agencies do not receive it, even when they pay the annual bill from escrow, so plan to pay it yourself.

Can I avoid the reset by buying the LLC that owns the building?

Usually not. Revenue and Taxation Code section 64 treats the acquisition of more than 50 percent of the voting stock, or of the capital and profits of a partnership or limited liability company, as a change in ownership of the real property the entity holds. Cumulative transfers by the original co-owners that cross 50 percent trigger it as well.

Is there rent control on Anaheim apartments?

The statewide cap in Civil Code section 1947.12 applies: no more than 5 percent plus the change in the cost of living, or 10 percent, whichever is lower, in any 12-month period, for housing older than 15 years. It remains in effect until 1 January 2030. Newer buildings are exempt until 15 years after their certificate of occupancy.

Do I need a lender based in Orange County?

No. A commercial loan is decided on the numbers of the property and the strength of the borrower, and lenders across the country finance Orange County property every week. What matters is that the lender underwrites the tax on the purchase price, reserves for the supplemental bill, and applies the rent cap to the rent schedule. A broker with a national lender network can compare local banks against agency and portfolio options side by side.
